1, Q: What kind of company do I set up?

2, Q: How much is the minimum registered capital in China? How will the funds be injected? What can registered capital be used to doing?

A: Minimum registered capital is 140,000 U.S. dollars. After the company set up, 20% of the capital will be injected within the first three months, and the rest will be injected in 2 years. Registered capital can be used to pay staff salary, pay rent, buy equipment, pay for electricity and water,etc.

5, Q: Wht is the China’s tax policy to foreign company?

A: China’s tax policies for foreign investors and domestic policies are the same. The business tax is 5%, the profit tax is 25%, the value-added tax is 17 %.


6, Q: What address can be the company’s registered address?

A: Register in the actual office’s address , or the virtual office’s address by my company provided,our charge is according to the annual fee.


7, Q: Which place can provide the bank reference and notarization?

A: Bank reference is provided by the bank of the mother country and notarization is provided by Chinese embassy in the foreign countries.


8, Q: What is the difference between the directors and the supervisors? What is supervisors?

A: Directors have the power to decide, is the company’s management staff. Supervisors have no real power. Directors and supervisors can not be the same person. The supervisors monitor the company’s business-operating people. Board of Supervisors or the Commission composed by the supervisors is necessary for the supervision of the statutory authorities.


9, Q: How many accounts do companies need to have?

A: The company must have a capital account and a basic RMB account. The capital account is used to inject the company’s registered capital, the basic account is used to payment of the RMB business in daily days.


10, Q: How many people need at least to set up a company?

A: 2 persons. One is the executive director and the general manager, the other is a supervisor.


11, Q: What is the difference between representative office and the company?

A: The representative office of foreign companies established in Shanghai is similar to an institution like a office, and it does not need registered capital. The representative office is only used for contact purposes.Company is an independent corporate body and the registered capital must be injected to operate the business.


12, Q: The company must have the accountant or not?

A: The company must have an accountant or commssion the agency to account.


13, Q: In Shanghai set up a Co., Ltd., what is the form of the company name? For example, China Limited XX can be used or not?

A: The form of the company name:

Name + business name + (Shanghai)+ Co., Ltd.

Shanghai + name + business name + Co., Ltd.

Name + (Shanghai) + business name+ Co., Ltd.

According ot the business name registration regulations, if add in "China" or without the industry expression,the registered capital must be more than 50 million RMB and in line with the other organs of the conditions set forth in the registration of China Administration for Industry and Commerce.
